UPA Care Terms of Use
These Terms govern registration, profile publication, marketplace access, job posts, contact access and Personal Match services.
Effective and last updated: September 4, 2026 · Version 2026-09-04
1. Agreement and eligibility
By creating an account, submitting information, purchasing access or profile publication, or using UPA Care, you agree to these Terms and the Privacy and Refund Policies. You must be at least 18 years old and legally able to enter a binding agreement. Caregivers must provide truthful, current information and promptly correct material changes.
2. Marketplace role
UPA Care provides technology, profile publication, contact-access and optional matching support. Except where UPA separately agrees in writing, UPA is not the employer, joint employer, supervisor, agent, insurer or representative of any family or caregiver, and is not a party to their childcare, employment, contractor, payment or service agreement. Users communicate, negotiate and pay caregiver compensation directly.
3. No guarantee
UPA does not guarantee jobs, interviews, income, applications, profile views, caregiver availability, a successful match, compatibility, hiring, continued service, conduct, performance, qualifications or safety. Paying for publication or access buys only the stated platform service; it never buys employment, a caregiver, an endorsement or UPA Verified status.
4. Family responsibilities
Families make the final hiring and supervision decisions. Before permitting care, each family must conduct the interviews and identity, reference, credential, license, driving-record, work-authorization and background checks it considers appropriate; assess the home and emergency plan; agree on duties, schedule, pay and cancellation terms; and satisfy applicable payroll, tax, insurance and employment-law duties. Worker classification depends on the actual relationship and applicable law; a label chosen by users does not control.
5. Caregiver responsibilities
Caregivers are responsible for the accuracy and legality of their profile, experience, availability, credentials, rates and communications; for maintaining any required authorization, certification, insurance or license; and for complying with the agreement reached with a family. Caregivers must not make misleading claims, impersonate another person or upload content without permission.
6. UPA Verified and screening
Payment never creates UPA Verified status. A badge may appear only after the checks UPA records for that profile are completed. Any screening reflects information available at a point in time, may be incomplete, and is not a guarantee of identity, qualifications, future conduct or safety. Families remain responsible for their own current due diligence.
7. Fees, renewals and refunds
Prices, duration and the service being purchased are shown before checkout. Nanny profile publication is for the stated term; family access and Personal Match have the scope shown at checkout. Unless checkout expressly states otherwise, purchases do not auto-renew. Caregiver wages are not processed by UPA. Refunds are governed by the Refund Policy and any non-waivable law.
8. User conduct and content
Users may not harass, discriminate unlawfully, exploit children, post false or unsafe content, scrape data, bypass access controls, misuse contact information or use the platform for illegal activity. UPA may review, restrict, hide or remove accounts, profiles or posts when reasonably necessary for safety, integrity, legal compliance or policy enforcement.
9. Assumption of risk
Childcare and in-person meetings involve risks that an online platform cannot eliminate. Users accept the risks of independently communicating, meeting, hiring, working with or paying another user and must use reasonable safety precautions. Call emergency services when immediate help is required.
10. Limitation of liability
To the maximum extent permitted by applicable law, UPA and its owners, personnel and affiliates are not liable for indirect, incidental, special, consequential, exemplary or punitive damages; lost income or opportunities; or acts, omissions, injuries, disputes, property damage, payments or agreements involving users or third parties. UPA's aggregate liability relating to a claim will not exceed the amount the claimant paid UPA for the specific service giving rise to that claim during the preceding 12 months. Nothing here excludes liability that cannot legally be excluded.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold UPA and its personnel and affiliates harmless from third-party claims, losses, liabilities and reasonable costs arising from your content, conduct, violation of law or these Terms, or your arrangement with another user. This does not apply to the extent a claim results from UPA's own conduct for which liability cannot legally be limited.
12. Changes, suspension and contact
UPA may update the platform or these Terms. Material changes may require renewed acceptance. UPA may suspend access for fraud, nonpayment, safety concerns or violations. Provisions that by their nature should survive termination will survive. Contact UPA before relying on any statement not contained in these Terms.
Important: These Terms are a strong operational draft, not a substitute for review by a Florida attorney familiar with marketplaces, childcare referrals, consumer law, privacy and employment classification.
